1.2 Course description
This course examines the principal legal, regulatory and governance obligations relevant to companies maintaining a listing on The Stock Exchange of Hong Kong Limited. It adopts an advanced, practice-oriented approach, with a principal focus on the Main Board Listing Rules.
The course considers key aspects of the regulatory framework applicable throughout the lifecycle of a listed company, including listing and continuing compliance, corporate governance, disclosure obligations, market conduct, listed-company transactions, regulatory risk and compliance management.
Students will engage with the Securities and Futures Ordinance, the Listing Rules, relevant regulatory codes and guidance, enforcement materials and practical case studies. They will consider how listed companies, their directors and officers, and those involved in advising or managing them identify regulatory obligations, assess and manage legal and compliance risks.
The course assumes a basic familiarity with Hong Kong company and securities law and will be particularly relevant to students working in, or advising, listed companies and their professional advisers.

2.1 Course Learning Outcomes (CLOs) for this course
CLO 1 Knowledge of the regulatory landscape: Explain the legal and regulatory framework governing Hong Kong-listed companies and the respective roles of the Securities and Futures Commission, the Stock Exchange and other relevant regulatory and decision-making bodies.
CLO 2 Interpretation and application: Interpret and apply relevant legislation, Listing Rules, regulatory codes and guidance to complex factual, corporate and transactional scenarios.
CLO 3 Practical compliance problem-solving: Identify and analyse legal and regulatory obligations and risks, and formulate appropriate governance arrangements, procedures and controls to maintain compliance and mitigate regulatory and personal liability risks.
CLO 4 Professional communication and collaboration: Present clear, accurate and persuasive compliance analysis orally and in writing; work effectively as part of a group; and respond constructively to questions and competing views.
